Please note that your use of and access to the Services (as defined below) are subject to the following Terms. If you do not agree to all these Terms, you may not use or access the Services in any manner.
1.1 Purpose
Vepay ('Vepay,' 'we,' 'our,' or 'us') offers automated virtual dollar card services and related financial technology solutions. Should you choose to become our client, we will create one or more accounts for you as follows:
- A Cash Wallet (the 'Cash Account')
- A Dollar Wallet (the 'Invested Account')
Collectively, these are referred to as the “Account.”
Your Account allows you to hold, transfer, and make payments using the Vepay platform subject to applicable laws, regulations, and these Terms of Use.
1.2 Agreement
When you access our website at (https://vepayhq.com/) ('our website' or 'this website') and/or our mobile applications ('our app' or 'this app') as a User, you are agreeing to be bound by the following Terms of Use. If you have elected to become a client, you are also bound by the Vepay Client Agreement.
Please take the time to read these binding Terms of Use carefully.
For the purposes of these Terms:
- A User is any individual who uses our website or mobile application to evaluate our services or for informational purposes.
- A Client is an individual or entity that has signed our Client Agreement and created an Account on the platform
These Terms of Use, along with our Privacy Policy (https://vepayhq.com/privacy-policy) apply to both Users and Clients. If you elect to become a client, you will also be subject to our Client Agreement and any additional terms presented when creating and funding an Account.
This app and our website are available for users globally. Similarly, we make no representations that accessing this app or our website from users respective location(s) is legal or permissible by extant local law(s). If you access this app or our website from your respective location, , you do so at your own risk and are yourself responsible for compliance with local laws.
2.1 Your Access
To access certain features of the app, you must register to create a User Account. During registration, you will be required to provide accurate and complete information and choose a secure password to protect your Account.
Vepay employs physical, electronic, and procedural safeguards compliant with regulatory standards to protect Users’ and Clients’ nonpublic personal information (see Privacy Policy).
You are solely responsible for maintaining the confidentiality of your password and other Account credentials and agree to notify Vepay Support immediately of any unauthorized use, loss, or suspected breach of your Account.
Any activities conducted under your Account will be deemed to have been authorized by you, whether such actions were authorized. You agree that the information you provide during registration or account update will be true, accurate, current, and complete always.
2.2 Alerts, Notifications and Service Communications
By creating a User Account, you automatically agree to receive certain communications, including alerts, service notifications, and updates via email, SMS, or mobile notifications.
You may customize or deactivate non-essential alerts by adjusting your notification settings within the app. We will never include your password in these communications, but we may include your name, email address, and account information where necessary for service delivery.
You may unsubscribe from marketing emails at any time by following the instructions included in such communications. Service-related notifications, however, are mandatory for account operation and cannot be disabled.
3. Fees, Charges, and Financial Terms
3.1 Fees and Service Charges
By using the Services, you agree to pay all applicable fees, charges, commissions, and transaction costs as displayed within the app or otherwise communicated to you. These may include but are not limited to:
- Card issuance fees (for virtual or physical cards, where applicable)
- Transaction fees (including international transactions and merchant processing fees)
- Currency conversion or foreign exchange fees
- Inactivity or maintenance fees (if applicable to dormant accounts)
- Withdrawal or transfer charges
- Replacement or reactivation fees (for lost or blocked cards)
All fees are visible within the app prior to transaction confirmation and are subject to change based on operational or regulatory requirements. Any updates to fees will be communicated through the app, email, or our website.
3.2 Funding and Withdrawals
You may fund your Account using approved payment methods displayed on the app. Vepay reserves the right to impose minimum and maximum transaction limits or to delay withdrawals for security or compliance reasons, including anti-fraud or anti–money laundering reviews.
All deposits and withdrawals are subject to verification and compliance checks in accordance with applicable laws and our internal AML/CFT policies.
3.3 Exchange Rates and Conversion
Where currency conversion is involved (for example, when funding or using a Dollar Wallet), the exchange rate applied will be the rate available on the Vepay platform at the time of processing. Conversion rates are subject to market fluctuations and may include a service margin or spread determined by Vepay or its banking partners.
3.4 Taxes
You are responsible for any applicable taxes, duties, or levies arising from your use of the Services. Vepay may deduct or withhold taxes where required by law and will report such deductions to relevant authorities.
3.5 Refunds and Reversals
Refunds are processed in accordance with Vepay’s Refund Policy. Vepay reserves the right to reject refund requests that contravene transaction terms, regulatory requirements, or security protocols. All approved refunds will be credited to the originating funding source where possible.
4. Prohibited and Excluded Transactions
4.1 Restricted Use of Card and Account
Vepay’s virtual or physical cards, as well as related payment services, must not be used for the following types of transactions:
- Dating and Escort Services
- Massage Parlors
- Government-owned Lotteries
- Government-licensed Online Casinos (Online Gambling)
- Government-licensed Horse or Dog Racing
- Betting and Online Gambling of any form
Any attempted transaction with merchants or platforms associated with the categories listed above will be automatically declined.
4.2 Right to Amend
Vepay reserves the right to amend, expand, or modify the list of prohibited services and categories at any time and without prior notice as it deems necessary for the operation of its business, to comply with applicable laws, or to mitigate operational, reputational, or regulatory risks.
Continued use of the Services after such amendments constitutes your acceptance of the updated restrictions.
5. General Terms
Suspension or Termination: Vepay may suspend or terminate your access to the Services without prior notice if you violate these Terms, applicable laws, or if your activities are deemed suspicious or fraudulent.
Limitation of Liability: Vepay shall not be liable for indirect, incidental, or consequential damage arising from your use of or inability to use the Services.
Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria, and any disputes shall be resolved in the competent courts of Lagos State, Nigeria.
By continuing to use the Vepay platform, you acknowledge that you have read, understood, and agreed to these Terms of Use, including all applicable fees, financial terms, and transaction restrictions.
